Summary

These Terms of Service explain the rules for using BotStacks. BotStacks helps businesses create AI assistants, connect knowledge sources, configure chatbot behavior, and deploy assistants on websites or other digital experiences.

By creating an account, using BotStacks, deploying a BotStacks assistant, or accessing the BotStacks platform, you agree to these Terms.

1. Who We Are

BotStacks Inc. is a Delaware C-Corp with a business mailing address at:

5150 Mae Anne Ave, Suite 550, Reno, NV 89523, United States

BotStacks provides a SaaS platform for building, configuring, testing, and deploying AI-powered assistants and chatbots.

2. Using BotStacks

You may use BotStacks to:

  • Create AI assistants

  • Upload or connect knowledge sources

  • Configure chatbot instructions and settings

  • Test assistant responses

  • Deploy chatbots to third-party websites

  • Manage workspaces, users, and client projects

  • Use available APIs, embed scripts, templates, and integrations

You are responsible for how you configure and use BotStacks.

3. Accounts and Workspaces

You must provide accurate account information and keep your login credentials secure.

You are responsible for:

  • Activity under your account

  • Users you invite to your workspace

  • Assistants created in your account

  • Knowledge sources uploaded or connected to your account

  • Websites where you deploy BotStacks assistants

  • Any client workspaces you create or manage

BotStacks may suspend or terminate access if we believe an account is being misused, creating security risk, violating these Terms, or causing harm to BotStacks, its customers, or third parties.

4. Customer Content and Knowledge Sources

“Customer Content” means content you upload, submit, connect, crawl, configure, or otherwise provide to BotStacks. This may include:

  • Website URLs

  • Website content

  • Uploaded files

  • Documents

  • Text snippets

  • Knowledge base articles

  • Prompts and instructions

  • Assistant configurations

  • Chatbot settings

  • Chat transcripts

  • User questions and AI responses

You retain ownership of your Customer Content.

By using BotStacks, you grant BotStacks permission to host, process, store, retrieve, transmit, and display Customer Content as needed to provide the platform and related services.

You represent that you have the rights and permissions needed to upload, connect, crawl, or process the Customer Content you provide to BotStacks.

5. AI Assistants and AI Outputs

BotStacks uses artificial intelligence and third-party AI model providers to generate responses, retrieve knowledge, summarize information, and power chatbot interactions.

AI-generated outputs may be incomplete, inaccurate, outdated, or inappropriate for a specific use case. You are responsible for reviewing, testing, and approving your assistants before deploying them.

BotStacks does not guarantee that AI outputs will be accurate, lawful, complete, or suitable for your business.

You agree not to rely on BotStacks assistants for high-risk decisions without appropriate human review. This includes decisions related to healthcare, legal matters, financial advice, employment, housing, insurance, education, safety, or other regulated or high-impact areas.

6. Website Chatbot Deployment

If you deploy a BotStacks assistant on a website or digital property, you are responsible for:

  • Having the right to place the assistant on that property

  • Making sure the assistant is configured correctly

  • Testing the assistant before launch

  • Disclosing when users are interacting with an AI assistant, where appropriate

  • Updating your own privacy policy or website notices as needed

  • Obtaining consent from website visitors where required

  • Ensuring your assistant does not collect information you are not allowed to collect

  • Monitoring assistant behavior after deployment

BotStacks provides the platform and deployment tools. You are responsible for the customer-facing experience on your website or your client’s website.

7. Subscriptions, Billing, Cancellations, and Refunds

BotStacks may offer free, trial, monthly, annual, usage-based, workspace-based, or agency-based plans.

By subscribing to a paid plan, you authorize BotStacks and its payment providers to charge your selected payment method for subscription fees, usage fees, taxes, and applicable charges.

Plans may include limits related to:

  • Workspaces

  • Assistants

  • Knowledge sources

  • Storage

  • Seats

  • Website deployments

  • Chat volume

  • AI token usage

  • API usage

  • Premium models or features

Unless otherwise stated, subscription fees are non-refundable. Usage-based charges, including AI usage or token-based charges, are generally non-refundable once incurred.

You may cancel your subscription according to the cancellation process available in your account or by contacting support. Cancellation stops future renewals but does not automatically refund prior charges.

BotStacks may change pricing, plan limits, or features with reasonable notice.

8. Acceptable Use

You may not use BotStacks to:

  • Violate laws or regulations

  • Infringe intellectual property rights

  • Upload content you do not have rights to use

  • Create deceptive, fraudulent, or misleading bots

  • Impersonate a person or organization without authorization

  • Send spam or abusive communications

  • Collect sensitive personal information without proper authority or consent

  • Generate or distribute malware, phishing content, or harmful code

  • Harass, threaten, exploit, or harm others

  • Bypass security controls, rate limits, or access restrictions

  • Scrape websites or data sources without proper rights

  • Use the platform for unlawful surveillance or profiling

  • Use AI outputs as the sole basis for regulated or high-impact decisions

BotStacks may suspend or remove assistants, workspaces, or accounts that violate this section.

9. Data Deletion and Account Termination

You may delete certain data from your account, including assistants, knowledge sources, documents, and workspaces, depending on the features available in the platform.

When you delete knowledge sources, BotStacks will use commercially reasonable efforts to delete or detach related indexed data, including associated vectorized or retrievable records, subject to backup cycles, legal requirements, technical limitations, and fraud/security retention needs.

If your account is terminated, BotStacks may delete or disable access to your account data after a reasonable period unless retention is required for legal, billing, security, or compliance purposes.

10. Support

BotStacks provides startup-stage support through available support channels, which may include email, in-app support, chat, or help documentation.

Support availability may vary by plan. BotStacks does not guarantee specific response times unless a separate written agreement says otherwise.

11. Beta Features

BotStacks may release beta, experimental, preview, or early-access features.

Beta features may be incomplete, unstable, changed, or removed at any time. They are provided “as is” and should not be relied on for critical business operations without testing and backup plans.

12. Third-Party Services and AI Providers

BotStacks may use third-party services to provide hosting, infrastructure, analytics, payments, email, support, AI models, vector databases, monitoring, and other platform functions.

Depending on your configuration, Customer Content, prompts, retrieved knowledge snippets, and chatbot conversations may be processed by third-party providers as needed to provide the service.

Your use of BotStacks may also be subject to third-party terms when you connect third-party tools, integrations, or services.

13. Intellectual Property

BotStacks owns the platform, software, design, workflows, templates, interfaces, documentation, branding, and related intellectual property.

You may not copy, reverse engineer, resell, modify, or create derivative works from the BotStacks platform except as permitted by BotStacks in writing.

You retain ownership of your Customer Content.

14. Confidentiality

You may receive access to non-public BotStacks information, including product plans, pricing, technical details, or beta features. You agree not to disclose confidential BotStacks information without permission.

BotStacks will use reasonable care to protect confidential Customer Content and account information.

15. Disclaimers

BotStacks is provided on an “as is” and “as available” basis.

BotStacks does not guarantee that:

  • The platform will be uninterrupted or error-free

  • AI outputs will be accurate or complete

  • Assistants will produce the same response every time

  • Knowledge retrieval will always identify the best or most relevant information

  • Third-party services will always be available

  • The platform will meet every business, legal, or compliance requirement

You are responsible for evaluating whether BotStacks is appropriate for your use case.

16. Limitation of Liability

To the maximum extent allowed by law, BotStacks will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or reputational harm.

To the maximum extent allowed by law, BotStacks’ total liability for any claim related to the platform will not exceed the amount you paid to BotStacks in the three months before the event giving rise to the claim.

17. Indemnity

You agree to defend and indemnify BotStacks from claims, damages, liabilities, costs, and expenses arising from:

  • Your use of BotStacks

  • Your Customer Content

  • Your deployed assistants

  • Your website or your client’s website

  • Your violation of these Terms

  • Your violation of law or third-party rights

18. Changes to These Terms

BotStacks may update these Terms from time to time. We will update the “Last Updated” date when changes are made. Continued use of BotStacks after changes become effective means you accept the updated Terms.

19. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules.
